Executive Compensation: Best Practices and Recent Developments in the United States

Overview:

Under SEC disclosure rules, the Compensation Discussion & Analysis (CD&A) section of corporate proxies must describe the material and key factors underlying executive compensation policies and decisions. There is no requirement to state formal "compensation philosophy" in the proxy until now, most companies have omitted or at best provided only vague boilerplate explanations.

However, governance experts agree that in the current environment, communicating a thoughtful compensation philosophy is one of the most important steps a Compensation Committee can take to communicate the complex, high-level pay programs they oversee to investors, their advisors and regulators. By clearly explaining the principles on which its compensation decisions are based, Directors and Senior Management can provide a persuasive rationale for how the resulting pay programs drive a company's strategic goals and needs. Ensuring executive pay for performance arguably is the single most important responsibility of the compensation committee.

This session will review 10 guidelines for establishing a meaningful and effective compensation philosophy and will discuss some of the latest trends in executive compensation as well as an update on recent regulatory changes taking place in the US market and internationally.

About the Speakers:

Professor Farrokh Langdana

Dr. David G. DeBoskey is a Certified Public Accountant and consultant on business and corporate governance issues in the U.S. and internationally. He has held numerous executive managerial positions in both public and private companies. He has extensive experience in SEC reporting and holds both a MBA and Ph.D.

Dr. DeBoskey's research includes executive compensation, auditor specialization and executive pedagogy. His research has appeared in peer-reviewed journals such as: Valuation Strategies, Practical Tax Strategies, Journal of Business and Accounting, Journal of Business and Behavioral Sciences and Issues in Accounting Education.

Dr. DeBoskey is frequently cited by business publications such as the The Wall Street Journal, Business Week, USA Today, and LA Times. He has appeared on The Wall Street Journal Radio and local nightly news business reports in the San Diego area. He is a frequent presenter at academic conferences.
